  52.         IMPORTANT NOTICE TO USERS ("ENTITY") - PLEASE READ CAREFULLY

  54. WEBSTER'S LEXXICON PUBLISHING CORP. THANKS YOU FOR SELECTING ONE OF OUR
  55. PRODUCTS. THIS IS THE WEBSTER'S LEXXICON PUBLISHING CORP. BUSINESS ENTITY,
  56. INSTITUTIONAL, GOVERNMENT LICENSE AGREEMENT, WHICH DESCRIBES WEBSTER'S LEXXICON
  57. PUBLISHING CORP.'S BUSINESS ENTITY, INSTITUTIONAL, GOVERNMENT LICENSE TERMS.
  58. ENTITY'S USE OF THIS SOFTWARE IS CONDITIONED UPON COMPLIANCE BY ENTITY WITH THE
  59. TERMS OF THIS AGREEMENT. THE SOFTWARE MAY BE EVALUATED FOR THIRTY DAYS ON A
  60. ROYALTY FREE BASIS. CONTINUED USE AFTER THE EVALUATION IS CONDITIONED UPON
  61. PAYMENT BY ENTITY OF THE NEGOTIATED LICENSE FEE, SPECIFIED IN A LETTER OF
  62. CONFIRMATION FROM WEBSTER'S LEXXICON PUBLISHING CORP. ("Webster's Lexxicon").
  63.  
  64. I. GRANT OF LICENSE.
  65.  
  66. You acknowledge you have read this Customer License Contract, understand it,
  67. and agree to be bound by its terms. This license authorizes Entity to use the
  68. number of copies described in the confirmation letter from Webster's Lexxicon
  69. Publishing Corp., and for which Entity has paid Webster's Lexxicon Publishing
  70. Corp. the negotiated license fee. If the confirmation letter from Webster's
  71. Lexxicon Publishing Corp. indicates that Entity's license is "Corporate-Wide,"
  72. this license will be deemed to cover copies duplicated and distributed by Entity
  73. for use on any additional incremental machines purchased or leased by Entity
  74. during the Term of the license, at no additional charge.
  75.  
  76. This license will be in effect from the date of the confirmation letter
  77. from Webster's Lexxicon Publishing Corp. authorizing such continued use or
  78. such other period as is stated in the confirmation letter (the "Term"). If
  79. Entity does not obtain a confirmation letter and pay the applicable license
  80. fee, this license expires at the end of the thirty day evaluation period.
  81.  
  82. This License is effective until terminated. You may terminate it at any
  83. time by destroying the Software together with any copies currently in 
  84. your posession. The License also terminates if you fail to comply with 
  85. the terms and conditions of this agreement, and additionally you need 
  86. to destroy any copies or variations of the software.
  87.  
  88. All updates must be accessed and downloaded from the Webster's Lexxicon
  89. Publishing Corp. electronic bulletin board (BBS), or Webster's Lexxicon
  90. Publishing Corp.'s designated FTP Internet site. Access instructions for the
  91. licensed user bulletin board are included in the confirmation letter.
  92.  
  93. In the case where Entity is licensing more than 500 copies of the Software,
  94. all updates will also be provided in diskette form at no charge as they
  95. occur during the term of this license.
  96.  
  97. The Software may not be distributed by Entity to any outside organization,
  98. corporation, or government agency.
  99.  
  100. II. ONE CONTACT INDIVIDUAL.
  101.  
  102. Support for Software problems and other product issues will be handled
  103. through one point of contact within the Entity. Entity shall designate
  104. the contact individual when placing its order with Webster's Lexxicon
  105. Publishing Corp. or a Webster's Lexxicon Publishing Corp. Authorized Agent.
  106. There will be no charge for support of the Software when directed through
  107. this contact individual. Support requests from any other organizational area
  108. will be subject to billing at Webster's Lexxicon published support rates.
  109.  
  110. III. EMPLOYEE HOME USE OPTION.
  111.  
  112. In the case where Entity is licensing more than 200 copies of the Software,
  113. Webster's Lexxicon Publishing Corp. will license the Software for home use by
  114. employees if requested by Entity, in writing, within the first year of the
  115. license. The cost for this option is 22% of the standard site license fee for
  116. that number of employee home use machines.
  117.  
  118. IV. COPYRIGHT.
  119.  
  120. This Software product (including any images, cartoon characters, illustrations
  121. and fictional locations, (including but not limited to "Websterland"),
  122. "applets," photographs, animations, video, audio, music, and text incorporated
  123. into the Software, is owned by Webster's Lexxicon Publishing Corp. and is
  124. protected by United States copyright laws and international treaty provisions.
  125. Therefore, you must treat the software like any other copyrighted material (e.g.
  126. a book or musical recording). You may not copy any printed materials which may
  127. accompany the software, nor print copies of any user documentation provided
  128. in "online" or other electronic form.
  129.  
  130. Entity acknowledges that no title to the intellectual property in the Software
  131. is transferred to Entity. Entity further acknowledges that full ownership rights
  132. to the Software will remain the exclusive property of Webster's Lexxicon
  133. Publishing Corp., and Entity will not acquire any rights to the Software except
  134. as expressly set forth in this license. Entity agrees that any copies of the
  135. Software made by Entity will contain the same proprietary notices which appear
  136. on and in the Software.
  137.  
  138. V. REVERSE ENGINEERING.
  139.  
  140. Licensee understands and agrees, that the licensed Software is the valuable
  141. property of Webster's Lexxicon Publishing Corp. and is protected by the laws of
  142. copyright, trade secrets, and contract. Licensee will use its best efforts, and
  143. take all reasonable steps to protect the licensed Software from unauthorized
  144. use, copying or dissemination, and will maintain all proprietary and protective
  145. notices intact. Except as expressly licensed herein, Licensee may not use,
  146. copy, disseminate, distribute, or modify, translate, reverse engineer,
  147. decompile, disassemble, and/or create derivative works from the licensed
  148. Software, in whole or part, sell, lease, sublicense, rent, give, lend, or in
  149. any way transfer by any means or in any medium, the licensed Software.
  150.  
  151. VI. WARRANTY.
  152.  
  153. Webster's Lexxicon Publishing Corp. warrants that it has the right to license
  154. Entity to use the Software and that the Software will perform substantially in
  155. accordance with its accompanying documentation for a period of ninety (90) days
  156. from the date Webster's Lexxicon Publishing Corp. receives payment. The Warranty
  157. is void if failure of the Software has resulted from accident, abuse, or
  158. misapplication. Any replacement Software supplied to Entity will be warranted
  159. for the remainder of the original Warranty period.
  160.  
  161. VII. LIMITATIONS OF REMEDIES.
  162.  
  163. Webster's Lexxicon Publishing Corp. will attempt to answer your technical
  164. support requests concerning the Software; however, this service is offered
  165. on a reasonable efforts basis only, and Webster's Lexxicon Publishing Corp.
  166. may not be able to resolve every support request.  Webster's Lexxicon
  167. Publishing Corp. supports the Software only if it is used under conditions
  168. and on operating systems for which the Software is designed.
  169.  
  170. Your exclusive remedies and Webster's Lexxicon Publishing Corp.'s sole
  171. liabilities are replacement of this product or refund of the license fee.
  172. Webster's Lexxicon Publishing Corp. shall not be liable to you or any other
  173. person or entity for any consequential, incidental, special, exemplary or
  174. other direct or indirect damages arising from the use of, the results of the
  175. use of, or the inability to use the programs. Some states do not allow the
  176. limitation or exclusion of liability for incidental or consequential damages
  177. so the above limitations or exclusions may not apply to you.
  178.  
  179. VIII. NO OTHER WARRANTIES.
  180.  
  181. Except as provided above, the software is provided "AS IS" without warranty
  182. of any kind. This warranty is in lieu of any other warranties, express or
  183. implied, including the implied warranties of merchantability and fitness for a
  184. particular purpose. In no event will Webster's Lexxicon Publishing Corp. be
  185. liable to you for damages, including any loss of profits, lost savings, or
  186. other incidental or consequential damages arising out of your use of or
  187. inability to use the Software, even if Webster's Lexxicon Publishing Corp. or
  188. an authorized Webster's Lexxicon Publishing Corp. representative has been
  189. advised of the possibility of such damages.
  190.  
  191. Because computer programs are inherently complex and thus may not be completely
  192. free of errors, you are advised to validate your work. Webster's Lexxicon
  193. Publishing Corp. does not warrant that the licensed product will meet your
  194. requirements, or that the operation of the software will be uninterrupted or
  195. error free.
  196.  
  197. Although changes or improvements to the licensed product may be made, Webster's
  198. Lexxicon Publishing Corp. will be under no obligation to provide them to you.
  199. Webster's Lexxicon Publishing Corp. is not responsible for problems caused by
  200. changes in the operating characteristics of any computer hardware or computer
  201. operating systems which are made after the release of the licensed product.
  202.  
  203. Some jurisdictions do not allow excluding or limiting implied warranties or
  204. limiting liability for incidental or consequential damages, and some
  205. jurisdictions have special statutory consumer protection provisions which may
  206. supercede this limitation.  As a result, this limitation of liability may not
  207. apply to you if prohibited by the laws of your jurisdiction.
  208.  
  209. IX. SEVERABILITY.
  210.  
  211. If any provision of this Agreement is found to be unlawful, void, or
  212. unenforceable, then that provision shall be severed from this Agreement and
  213. will not affect the validity and enforceability of any of the remaining
  214. provisions. In the event of invalidity of any provision of this license, the
  215. parties agree that such invalidity shall not affect the validity of the
  216. remaining portions of this license. This Agreement shall be governed by the
  217. laws of the State of New York.
  218.  
  219. X. NO LIABILITY FOR CONSEQUENTIAL DAMAGES.
  220.  
  221. In no event will Webster's Lexxicon Publishing Corp. be liable for direct,
  222. indirect, incidental, special, exemplary, or consequential damages, or lost
  223. profits arising out of the use of or inability to use the licensed product or
  224. documentation, even if Webster's Lexxicon Publishing Corp. or an authorized
  225. Webster's Lexxicon Publishing Corp. representative has been advised of the
  226. possibility of such damages, or for any claim by any other party. In no event
  227. will Webster's Lexxicon Publishing Corp.'s liability for any claim, whether in
  228. contract, tort, or any other theory of liability, exceed the license fee paid
  229. by Entity.
  230.  
  231. XI. TRADE SECRETS.
  232.  
  233. You acknowledge that the licensed product contains trade secrets of Webster's
  234. Lexxicon Publishing Corp. Further, you agree to take all steps necessary to
  235. protect the licensed product, as well as any copies thereof from disclosure,
  236. and specifically agree not to disassemble, decompile, or reverse engineer any
  237. part of the source code of the software from the object code, or from other
  238. data provided to you under this Customer License Agreement.
  239.  
  240. XII. EXPORT LAWS AND ASSURANCES.
  241.  
  242. Entity agrees that neither the software nor the direct product thereof is
  243. intended to be shipped either directly or indirectly to country groups
  244. Q, S, W, Y, Z, Afghanistan or the People's Republic of China, unless
  245. a validated export license is obtained from the U.S. Department of Commerce.
  246.  
  247. Entity agrees and certifies that neither this software product, nor any other
  248. technical data received from Webster's Lexxicon Publishing Corp., nor the direct
  249. product thereof, will be exported outside the United States. If this product has
  250. been rightfully obtained by you outside the United States, you agree that you
  251. will not reexport this product, nor any other technical data received from
  252. Webster's Lexxicon Publishing Corp., nor the direct product thereof, except as
  253. permitted by the laws and regulations of the United States and the laws and
  254. regulations of the jurisdiction in which you obtained this software product.
  255.  
  256. XIII. APPLICABLE LAWS.
  257.  
  258. This agreement shall be governed by and construed in accordance with the laws
  259. of the United States and the State of New York, including copyright, trade
  260. secret and trademark laws. If any provision of this License Agreement
  261. shall be held invalid, illegal or unenforceable, the validity, legality and or
  262. enforceability of the remaining provisions shall not in any way be affected
  263. or impaired thereby. Any claim arising out of this Agreement will be brought
  264. in the State of New York.
  265.  
  266. XIV. U.S. GOVERNMENT RESTRICTED RIGHTS.
  267.  
  268. The Software and any accompanying materials are provided with Restricted Rights.
  269. Use, duplication, or disclosure by the Government is subject to restrictions as
  270. set forth in subparagraph (c)(1)(ii) of The Rights in Technical Data and
  271. Computer Software clause at DFARS 252.227-7013, or subparagraphs (c)(1) and (2)
  272. of the Commercial Computer Software--Restricted Rights at 48 CFR 52.227-19, as
  273. applicable. Contractor/manufacturer is Webster's Lexxicon Publishing Corp.
  274. at the address below. If you are acquiring this software product on behalf of
  275. any unit or agency of the United States Government, the following provisions
  276. apply. The Government agrees: (i) If this software product is supplied to the
  277. Department of Defense, this software product is classified as "Commercial
  278. Computer Software," and the Government is acquiring only "restricted rights"
  279. in this software product and its documentation as that term is defined in
  280. Clause 252.227-7013(c) (1) of the DFARS; and (ii) If this software product is
  281. supplied to any unit or agency of the United States Government other than the
  282. Department of Defense, the Government's rights in this software product and
  283. its documentation will be defined in Clause 52.227-19(c) (2) of the FAR, or,
  284. in the case of NASA, in Clause 1852.227-86(d) of the NASA Supplement to the
  285. FAR.
  286.  
  287. XV. COMPLETE AGREEMENT.
  288.  
  289. This Agreement, together with any Webster's Lexxicon Publishing Corp.
  290. confirmation letter constitute the entire agreement between Entity and
  291. Webster's Lexxicon Publishing Corp. which supersedes any prior agreement,
  292. including any prior license from Webster's Lexxicon Publishing Corp., or
  293. understanding, whether written or oral, relating to the subject matter of this
  294. Agreement.
  295.  
  296. Webster's Lexxicon Publishing Corp. reserves the right to conduct or have
  297. conducted audits to verify Entity's compliance with this Agreement. The terms
  298. and conditions of this Agreement shall apply to all orders submitted to
  299. Webster's Lexxicon Publishing Corp. and shall supersede any different or
  300. additional terms on purchase orders from Entity. The section headings
  301. contained in this Agreement are inserted for convenience only, and are not
  302. intended to limit or define the substantive provisions to which they refer.
  303.

  428. terms of this Agreement.  You are entitled to evaluate the Software on a
  429. royalty free basis for thirty days.  Use after the thirty day evaluation period
  430. is further conditioned upon payment of the license fee specified in this file.

  432. This License is effective until terminated. You may terminate it at any

  482. V. LIMITATIONS OF REMEDIES.

  484. Webster's Lexxicon Publishing Corp. will attempt to answer your technical
  485. support requests concerning the Software; however, this service is offered
  486. on a reasonable efforts basis only, and Webster's Lexxicon Publishing Corp.
  487. may not be able to resolve every support request.  Webster's Lexxicon
  488. Publishing Corp. supports the Software only if it is used under conditions
  489. and on operating systems for which the Software is designed.
  490.  
  491. Your exclusive remedies and Webster's Lexxicon Publishing Corp.'s sole
  492. liabilities are replacement of this product or refund of the license fee.
  493. Webster's Lexxicon Publishing Corp. shall not be liable to you or any other
  494. person or entity for any consequential, incidental, special, exemplary or
  495. other direct or indirect damages arising from the use of, the results of the
  496. use of, or the inability to use the programs. Some states do not allow the
  497. limitation or exclusion of liability for incidental or consequential damages
  498. so the above limitations or exclusions may not apply to you.

  500. VI. NO OTHER WARRANTIES.

  502. Except as provided above, the software is provided "AS IS" without warranty
  503. of any kind. This warranty is in lieu of any other warranties, express or
  504. implied, including the implied warranties of merchantability and fitness for a
  505. particular purpose. In no event will Webster's Lexxicon Publishing Corp. be
  506. liable to you for damages, including any loss of profits, lost savings, or
  507. other incidental or consequential damages arising out of your use of or
  508. inability to use the Software, even if Webster's Lexxicon Publishing Corp. or
  509. an authorized Webster's Lexxicon Publishing Corp. representative has been
  510. advised of the possibility of such damages.

  512. Because computer programs are inherently complex and thus may not be completely
  513. free of errors, you are advised to validate your work. Webster's Lexxicon
  514. Publishing Corp. does not warrant that the licensed product will meet your
  515. requirements, or that the operation of the software will be uninterrupted or

  518. Although changes or improvements to the licensed product may be made, Webster's
  519. Lexxicon Publishing Corp. will be under no obligation to provide them to you.
  520. Webster's Lexxicon Publishing Corp. is not responsible for problems caused by
  521. changes in the operating characteristics of any computer hardware or computer
  522. operating systems which are made after the release of the licensed product.

  524. Some jurisdictions do not allow excluding or limiting implied warranties or

  537. remaining portions of this license. This Agreement shall be governed by the

  547. whether in contract, tort, or any other theory of liability, exceed the
  548. license fee paid by you.

  550. IX. EXPORT LAWS AND ASSURANCES.

  552. You agree that neither the software nor the direct product thereof is
  553. intended to be shipped either directly or indirectly to country groups
  554. Q, S, W, Y, Z, Afghanistan or the People's Republic of China, unless
  555. a validated export license is obtained from the U.S. Department of Commerce.

  557. You agree and certify that neither this software product, nor any other
  558. technical data received from Webster's Lexxicon Publishing Corp., nor the direct
  559. product thereof, will be exported outside the United States. If this product has
  560. been rightfully obtained by you outside the United States, you agree that you
  561. will not reexport this product, nor any other technical data received from
  562. Webster's Lexxicon Publishing Corp., nor the direct product thereof, except as
  563. permitted by the laws and regulations of the United States and the laws and
  564. regulations of the jurisdiction in which you obtained this software product.
  565.  
  566. X. APPLICABLE LAWS.
  567.  
  568. This agreement shall be governed by and construed in accordance with the laws
  569. of the United States and the State of New York, including copyright, trade
  570. secret and trademark laws. If any provision of this Customer License Contract
  571. shall be held invalid, illegal or unenforceable, the validity, legality and or
  572. enforceability of the remaining provisions shall not in any way be affected
  573. or impaired thereby. Any claim arising out of this Agreement will be brought
  574. in the State of New York.

  576. XI. TRADE SECRETS.
  577.  
  578. You acknowledge that the licensed Software contains trade secrets of Webster's
  579. Lexxicon Publishing Corp. Further, you agree to take all steps necessary to
  580. protect the licensed Software, as well as any copies thereof, from disclosure,
  581. and specifically agree not to disassemble, decompile, or reverse engineer any
  582. part of the source code of the software from the object code, or from other
  583. data provided to you under this Customer License Agreement.

  585. XII. COMPLETE AGREEMENT.
  586.  
  587. This Agreement, together with any Webster's Lexxicon Publishing Corp. letter
  588. of confirmation constitute the entire agreement between you and Webster's
  589. Lexxicon Publishing Corp. which supersedes any prior agreement, including any
  590. prior license from Webster's Lexxicon Publishing Corp., or understanding,
  591. whether written or oral, relating to the subject matter of this Agreement. The
  592. terms and conditions of this Agreement shall apply to all orders submitted to
  593. Webster's Lexxicon Publishing Corp. and shall supersede any different or
  594. additional terms on purchase orders from you.

  751. I. GRANT OF LICENSE.

  753. Webster's Lexxicon Publishing Corp. ("Webster's Lexxicon") grants to the
  754. Distributor a nonexclusive, worldwide right to distribute the object code
  755. version of the Software as shareware. This license to distribute the Software
  756. is conditioned upon Distributor's compliance with the terms of this Agreement.

  758. Distributor will not copy the Software, except as necessary to use it in
  759. accordance with this license. Distributor is granted no right to modify
  760. or sublicense the Software. Distributor may download the Software files from
  761. Webster's Lexxicon Publishing Corp. electronic bulletin board system (BBS) at
  762. (718)897-6902, settings are 8Nl, ANSI or TTY emulation, and full duplex, or
  763. from Webster's Lexxicon Publishing Corp.'s designated FTP Internet site. All
  764. files of this Software must be distributed bundled together, with the Software
  765. .EXE files bundled with the all .DOC .INI .RHS or .TXT files. All Software
  766. distribution must be via diskettes (which are either write-protected or
  767. notchless) or via CD ROM, (in which case the original archive file from
  768. Webster's Lexxicon Publishing Corp. must be used).
  769.  
  770. Distributor is prohibited from installing copies of the Software on hard drives
  771. or tape media, and distributing such hard drives, or tape storage media.
  772.  
  773. II. NO SUBLICENSE FEE.
  774.  
  775. Shareware Distributors may not charge their customers for the Software other
  776. than a nominal fee for diskettes, and must make clear on the diskette package
  777. and diskette label that the Software on the diskette is for evaluation purposes
  778. only, and that its use beyond 30 days requires a valid license or registration
  779. through Webster's Lexxicon Publishing Corp.
  780.  
  781. Shareware Distributors agree not to offer any service or subscription that
  782. includes updates of Webster's Lexxicon Publishing Corp. Software. Such access
  783. to, or provision of, Webster's Lexxicon Publishing Corp. Software updates is
  784. a benefit of properly licensing the Software through Webster's Lexxicon
  785. Publishing Corp.

  787. All registration and licensing opportunities shall be referred to Webster's
  788. Lexxicon Publishing Corp.
  789.  
  790. III. COPYRIGHT.

  792. This Software product (including any images, cartoon characters, illustrations
  793. and fictional locations, (including but not limited to "Websterland"),
  794. "applets," photographs, animations, video, audio, music, and text incorporated
  795. into the Software, is owned by Webster's Lexxicon Publishing Corp. and is
  796. protected by United States copyright laws and international treaty provisions.

  798. Distributor acknowledges that no title to the intellectual property in the
  799. Software is transferred to Distributor. Distributor further acknowledges that
  800. full ownership rights to the Software will remain the exclusive property of
  801. Webster's Lexxicon Publishing Corp. and Distributor will not acquire any rights
  802. to the Software except as expressly set forth in this license. Distributor
  803. agrees that any copies of the Software made by Distributor will contain the
  804. same proprietary notices which appear on and in the Software.

  806. IV. REVERSE ENGINEERING.
  807.  
  808. Distributor agrees that it will not attempt, and will use its best efforts to
  809. prevent its employees from attempting to reverse compile, modify, translate or
  810. disassemble the Software in whole or in part.
  811.  
  812. V. LIMITED END USER WARRANTY.
  813.  
  814. Webster's Lexxicon Publishing Corp. warrants the Software TO END USERS ONLY,
  815. pursuant to the terms and conditions of the end user license, and NO warranty
  816. is extended to Distributor. In the event the Software does not conform to the
  817. limited warranty described in the end user license, Webster's Lexxicon
  818. Publishing Corp. will provide the end user with a solution in accordance with
  819. the terms of the end user license. Distributor agrees to provide Webster's
  820. Lexxicon Publishing Corp. with reasonable assistance in providing warranty
  821. assistance to end users.

  823. VI. NO OTHER WARRANTIES.

  886. XI. U.S. GOVERNMENT RESTRICTED RIGHTS.

  888. If Distributor provides the Software for use by DoD, Distributor agrees to
  889. insure that the Software and any accompanying materials are provided with
  890. Restricted Rights. Use, duplication, or disclosure by the Government is subject
  891. to restrictions as set forth in subparagraph (c)(1)(ii) of The Rights in
  892. Technical Data and Computer Software clause at DFARS 252.227-7013, or
  893. subparagraphs (c)(1) and (2) of the Commercial Computer Software--Restricted
  894. Rights at 48 CFR 52.227-19, as applicable. Contractor/manufacturer is Webster's
  895. Lexxicon Publishing Corp. at the address below. If Distributor provides the
  896. Software to or on behalf of any unit or agency of the United States Government,
  897. the following provisions apply. The Government agrees: (i) If this Software
  898. product is supplied to the Department of Defense, this Software product is
  899. classified as "Commercial Computer Software," and the Government is acquiring
  900. only "restricted rights" in this Software product and its documentation as that
  901. term is defined in Clause 252.227-7013(c) (1) of the DFARS; and (ii) If this
  902. Software product is supplied to any unit or agency of the United States
  903. Government other than the Department of Defense, the Government's rights in this
  904. Software product and its documentation will be defined in Clause 52.227-19(c)
  905. (2) of the FAR, or, in the case of NASA, in Clause 1852.227-86(d) of the NASA
  906. Supplement to the FAR.

  908. XII. COMPLETE AGREEMENT.

  910. This Agreement constitutes the entire agreement between Distributor and
  911. Webster's Lexxicon Publishing Corp. which supersedes any prior agreement,
  912. including any prior license from Webster's Lexxicon Publishing Corp. or
  913. understanding, whether written or oral, relating to the subject matter of
  914. this Agreement. Webster's Lexxicon Publishing Corp. reserves the right to
  915. conduct or have conducted audits to verify Distributor's compliance with
  916. this Agreement.
